Overview

Topssy maintains this website for your informational, educational, and business communication purposes.

You agree that the Site itself, as well as all content, case studies, service descriptions, examples of AI agents, and/or other materials made available on the Site by us (collectively referred to as the "Content") are maintained for your use and information and are the property of the Company and/or its third-party providers.

Subject to your compliance with these Terms of Service, the Company hereby grants you a limited license, which is non-exclusive, non-transferable, and non-sublicensable, to access, view, and use the Site solely for your purposes of conducting business research or initiating a service inquiry. No Company Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or used for public or commercial purposes (other than legitimate business engagement with Topssy), unless written permission is expressly granted by the Company. Modification of the Content or use of the Content for any other purpose is a violation of the copyright and other proprietary rights of the Company, as well as other authors who created the materials.

Services and Separate Agreements

The primary function of this Site is to promote and facilitate the sale of custom AI automation services (e.g., conversational agents, Voice AI, workflow automation).

You acknowledge that any engagement resulting in the purchase of such custom services will require a separate, written Service Agreement or Contract. The specific terms governing the project scope, payment, delivery, warranties, and ownership of the resulting AI agents will be governed exclusively by that separate, signed agreement and not by these general Terms of Service.

Limitation of Liability

NEITHER THE COMPANY NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR MAINTAINING THE SITE AND/OR ANY CONTENT ON THE SITE SHALL BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO OR USE OF THE SITE.

Without limiting the foregoing, all Content on the Site is provided "AS IS" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose. The Company does not warrant or make any representations regarding the suitability of the materials on the Site for any user’s needs, the likelihood that the use of such materials will meet any user’s expectations, or the correctness, accuracy, or reliability of any informational content.

The Company does not warrant that use of the materials will be uninterrupted or error-free, that defects will be corrected, or that this Site, the Content, and/or the materials available on this Site are free from bugs or viruses or other harmful components

Indemnification

You agree to indemnify and hold the Company and each of its owners, officers, employees, contractors, and agents, harmless from any and all liabilities, claims, damages, and expenses, including reasonable attorney’s fees, arising out of or relating to your use of this Site, its content, or any services that the Company provides.

Communications and Submissions

Any communication or material you transmit to the Site, including, but not limited to, information submitted via a contact form or demo request (Name, Email, Company Details), will be treated according to our Privacy Policy

While we treat PII with care as outlined in the Privacy Policy, any general feedback, comments, or conceptual material you transmit to the Site (excluding specific PII) will be treated as non-confidential and non-proprietary.

Security 

The Company shall use commercially reasonable efforts to restrict unauthorized access to our data and files. However, no system, whether or not password protected, can be entirely impenetrable. You acknowledge that it may be possible for an unauthorized third party to access, view, copy, modify, or distribute the data and files you submit or store using the Site. Use of the Site is completely at your own risk.

Enforcement 

This agreement shall be governed by and construed in accordance with the laws of Canada and the Province of Quebec.

You further submit to the exclusive jurisdiction of the provincial and federal courts located in the Province of Quebec, Canada. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Changes to the Terms

Topssy reserves the right to modify or update these Terms of Service at any time.

  • Non-Material Changes: For minor changes (e.g., typos, formatting), the updated Terms will be effective immediately upon posting to the Website.

  • Material Changes: For any material changes that affect your rights or obligations (e.g., changes to liability or governing law), Topssy will provide reasonable notice of the changes before they take effect, typically by posting a conspicuous notice on the Website's homepage or updating the "Created" date at the bottom of the document.

Your continued use of the Site after such modifications constitutes your acceptance of the revised Terms.
